Terms of Service

Effective April 19, 2026

These Terms of Service (“Terms”) govern your access to and use of SiteMQ (the “Service”), operated by nagiflow LLC (“we”, “us”, “our”). By creating an account or using the Service you agree to these Terms.

1. The Service

SiteMQ rebuilds, hosts, and maintains websites on your behalf. Rebuilds are produced by AI agents and reviewed by a human before launch. The specific features and quotas of your plan are listed on our pricing page at the time you subscribe.

2. Accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You are responsible for all activity on your account and for keeping credentials secure.
  • You must provide accurate information and keep it current.
  • You may not share an account seat with other people beyond the seat allowance of your plan.

3. Subscriptions, fees, and taxes

  • Plans are billed monthly or yearly in advance via Stripe. Prices are listed on the pricing page and may be in USD or JPY depending on your region.
  • Renewals charge automatically until you cancel.
  • Consumption tax or equivalent VAT is added to the displayed price where required by law.
  • Price changes take effect on your next renewal after we provide at least 30 days’ notice.

4. Cancellation and refunds

  • You may cancel at any time from the dashboard. Cancellation stops future renewals.
  • 30-day refund window. If you request a refund within 30 days of your first charge on a new plan, we will refund that charge in full. Email [email protected] to request one.
  • Outside the refund window, fees already paid are non-refundable except where required by applicable law.
  • On cancellation you keep access until the end of the current billing period. We delete your site data 90 days after your paid access ends.

5. Your content

You retain ownership of the content you upload, submit, or import (“Your Content”). You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display Your Content solely to operate the Service, generate rebuilds and previews for you, and perform backups.

You represent that you have the rights needed to upload Your Content and that it does not violate any third-party rights or applicable law.

6. Acceptable use

You may not use the Service to:

  • Publish unlawful, infringing, deceptive, or harassing content.
  • Distribute malware or attempt to probe, scan, or breach the Service.
  • Impersonate another business or person in a way likely to confuse customers.
  • Run content that is prohibited in Japan, including content that violates the Act on Regulation of Adult Entertainment Businesses or gambling laws.
  • Reverse-engineer the Service or resell it without written permission.

We may suspend or terminate accounts that violate these rules, with notice where reasonable.

7. Our content and IP

The software, designs, templates, and branding that make up the Service are owned by nagiflow LLC or our licensors. The rebuild we deliver includes code we license to you for use on your active subscription; if you cancel, your right to continue using the code on our infrastructure ends, but you retain a copy of your exported content.

8. Third-party services

The Service integrates with third parties such as Stripe, Google / Firebase, Cloudflare, and domain registrars. Your use of those services is subject to their own terms. We are not responsible for their availability or conduct.

9. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that AI-generated rebuilds will be free of mistakes.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or related to the Service is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, or data.

Nothing in these Terms limits liability that cannot be excluded under Japanese law, including liability for willful misconduct or gross negligence.

11. Indemnification

You agree to defend and indemnify us against claims arising from Your Content, your use of the Service in violation of these Terms, or your violation of applicable law.

12. Changes to the Service or Terms

We may modify the Service or these Terms. Material changes to the Terms will be announced at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

13. Governing law and venue

These Terms are governed by the laws of Japan, without regard to conflict-of-laws rules. The Tokyo District Court (東京地方裁判所) has exclusive jurisdiction of first instance over any dispute arising from or relating to the Service or these Terms.
